Welcome to davidcopper.com. By accessing this website or contracting our Consultancy Services, you agree to comply with and be bound by the following terms and conditions. These terms govern the relationship between you and Deterix Ltd (trading as opaq).

1. Services Provided

Deterix Ltd provides the following commercial services:

  • Consultancy Services: Specialized technological contracting, including AI onboarding system architecture audits, custom software engineering (Rust, PostgreSQL, pgvector, etc.), merchant onboarding workflow design, and Fractional CTO consultancy.

2. Consultancy Engagements

For consultancy agreements and development projects:

  • Scope of Work: Projects are governed by individual Statement of Work (SOW) documents defining deliverables, timelines, and payment milestones.
  • Professional Fees: Consultancy work is billed via formal invoice with standard payment terms (unless agreed otherwise in the SOW). Any deposits paid are subject to the cancellation terms set out in our Refund Policy.
  • Deliverable Intellectual Property: Upon receipt of full payment, all intellectual property rights for custom-developed software deliverables transfer to the client, subject to the retention of standard background libraries and proprietary pre-existing technologies of Deterix Ltd.

3. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Deterix Ltd, its directors, or consultants be liable for any indirect, incidental, special, exemplary, or consequential damages (including loss of profits, loss of data, business interruption, or system downtime) arising out of the delivery of our Consultancy Services. Our total liability for any claim under these terms is limited to the fees paid by you for the specific service in the twelve (12) months preceding the event.

4. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of England & Wales. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
